NON-DISCLOSURE AGREEMENT

Preamble

This Non-Disclosure Agreement (“Agreement”) is made and entered into on this ___ day of __________, 20___ (“Effective Date”), by and between:

 

Fun Studios Entertainment, an Entertainment Company, having its office at 571, Bijwasan, New Delhi, 110061 (“Disclosing Party”), AND (Select One Option Based on the Signatory):

The “Effective Date” is when you or your parent click Submit on Tatvik Tara’s The Secret Council – India Application on “Google Form” – https://forms.gle/9oaxKvdDcfo45sR57

 

  1. Parent/Legal Guardian:

Mr./Ms. ____________________________, residing at ____________________________, acting as the lawful parent/guardian of minor ____________________________ (“Receiving Party”), OR

 

  1. Student/Artist (Self-Signing):

Mr./Ms. ____________________________, residing at ____________________________ (“Receiving Party”).

Note: Above details will be captured in Google Form.

 

Collectively referred to as the “Parties” and individually as a “Party”.

1. Purpose

Fun Studios Entertainment is developing creative content, storylines, concepts, characters, artwork, scripts, production details, and confidential information relating to Superheroine “Tara”, “Tara’s The Secret Council”, The Advisors Council, The Actors Councils etc, and all related intellectual property (“Confidential Information”). The Receiving Party will receive access to such information solely for participation in activities, auditions, events, workshops, councils, or programs conducted by Fun Studios Entertainment.

2. Definition of Confidential Information

“Confidential Information” includes, but is not limited to: Storylines, scripts, dialogues, characters, plot elements; Designs, artwork, videos, drafts, prototypes; Concepts, creative ideas, strategies, production plans; Casting information, audition details, internal communications; Any media, digital files, documents, or verbal information shared by Fun Studios Entertainment.

3. Obligations of Receiving Party

The Receiving Party agrees:

  1. Not to disclose, share, publish, post, copy, screenshot, forward, or distribute Confidential Information to any person.
  2. To use the Confidential Information solely for activities authorised by Fun Studios Entertainment.
  3. Not to record, photograph, reproduce, or store any Confidential Information without written approval.
  4. To maintain strict confidentiality even after the completion of participation.
  5. If the Receiving Party is a parent/guardian, they shall ensure their minor child adheres to this Agreement.

4. Ownership

All Confidential Information and associated rights are the exclusive intellectual property of Fun Studios Entertainment. No rights, licenses, or ownership are transferred through this Agreement.

5. Term & Survival

This Agreement continues for five (5) years from the date of signing, or until the Confidential Information is released publicly by Fun Studios Entertainment. Confidentiality obligations survive termination or expiration.

6. Breach & Remedies

In case of breach, Fun Studios Entertainment is entitled to seek injunctive relief, damages, and legal remedies under applicable Indian laws. The Receiving Party may be removed from programs and Fun Studios Entertainment may pursue civil or criminal action.

7. Return of Materials

Upon request, the Receiving Party must return, delete, or destroy all Confidential Information.

8. No Guarantee of Engagement

Signing this NDA does not guarantee selection, casting, or collaboration with Fun Studios Entertainment.

9. Governing Law & Jurisdiction

This Agreement is governed by the laws of India. Disputes shall be subject to the courts of New Delhi, India.

10. Entire Agreement

This Agreement supersedes all prior communications between the Parties. Amendments must be in writing and signed by both Parties.
